Job Summary

Job Purpose
As a Corporate Services Manager / Senior Consultant, you will lead the delivery of end-to-end corporate services and regulatory compliance solutions for a diverse portfolio of UAE-based and international clients.
This role combines technical expertise, client advisory, and operational leadership, ensuring that all company formation, licensing, and ongoing compliance requirements are executed efficiently and in full alignment with UAE regulatory frameworks (mainland, free zones, and offshore jurisdictions).
You will play a key role in building a scalable, high-quality corporate services function, while acting as a trusted advisor to clients on structuring, compliance, and business setup strategies.
Key Responsibilities
Client Advisory & Portfolio Management
Act as the primary relationship manager for a portfolio of clients, including SMEs, startups, and international groups.
Provide strategic advice on UAE entity structuring, including:
Mainland vs free zone vs offshore selection
Shareholding structures and ownership compliance
Activity selection and licensing strategy
Serve as a trusted advisor on regulatory, operational, and commercial considerations.
Conduct regular client reviews, identifying risks, compliance gaps, and opportunities for additional services.
Company Formation & Structuring
Lead and oversee company incorporation processes across:
Mainland (DED / DET)
Free Zones (e.g., DMCC, IFZA, ADGM, DIFC, SPC, SHAMS, etc.)
Offshore jurisdictions (RAK ICC, JAFZA Offshore, etc.)
Manage the full lifecycle of incorporations, including:
Name reservation and initial approvals
Documentation preparation and submission
Licensing and registration completion
Ensure all incorporations are compliant, efficient, and aligned with client objectives.
Corporate Compliance & Entity Management
Oversee ongoing corporate services and entity management, including:
License renewals and amendments
Share transfers and restructuring
UBO filings and ESR (where applicable)
Corporate Tax and VAT registrations
Changes in directors, managers, and authorised signatories
Ensure compliance with:
UAE Corporate Tax and VAT frameworks
AML/CFT regulations and KYC requirements
Free zone and mainland authority requirements
Maintain a compliance calendar and tracking system to ensure no deadlines are missed.

Team Leadership & Operations
Supervise and manage a team of:
Corporate Services Executives
PROs / Government Liaison Officers
Allocate work, monitor performance, and ensure:
Timely delivery of services
High-quality documentation and submissions
Compliance with internal SLAs and client expectations

Provide coaching, training, and performance feedback to team members.
Build a culture of accountability, precision, and client-centric service delivery.
Documentation & Quality Assurance
Review and approve:
Corporate resolutions and shareholder documents
Incorporation applications and regulatory filings
Client submissions to authorities
Ensure all documentation is:
Legally compliant
Accurate and complete
Consistent with client structures and objectives
Maintain audit-ready documentation standards across all client files.
Banking & KYC Support
Support clients with UAE bank account opening processes, including:
KYC documentation preparation
Business activity justification and structuring narratives
Coordination with banks and relationship managers
Advise clients on banking expectations, compliance requirements, and risk factors.
Troubleshoot account opening challenges and provide practical solutions.
Regulatory Monitoring & Risk Management
Stay continuously updated on:
UAE corporate laws and licensing frameworks
AML/CFT regulations and Ultimate Beneficial Owner (UBO) requirements
Corporate Tax and VAT developments

Translate regulatory updates into:
Internal processes
Client advisory notes
Compliance checklists
Identify and mitigate client and firm-level compliance risks.

Process Improvement & Systems
Drive standardisation of:
Corporate services workflows
Documentation templates
Compliance tracking tools
Implement and optimise use of CRM / case management systems for:
Client tracking
Task management
Compliance monitoring
Identify opportunities to automate processes and improve efficiency.

Business Development & Growth
Identify opportunities to:
Upsell corporate services (entity management, restructuring, compliance)
Cross-sell accounting, tax, HR, and advisory services
Support proposal development, client onboarding, and structuring solutions.
Contribute to thought leadership (guides, webinars, regulatory updates).
Internal Collaboration
Work closely with:
Tax and Accounting teams (for CT, VAT, and compliance alignment)
HR & Payroll teams (for visa and employment structuring)
Legal advisors and external partners (where required)
Ensure seamless delivery of integrated client solutions.

Qualifications & Experience
Bachelor’s degree in Business Administration, Law, or related field
Minimum 3–6 years of UAE experience in:
Corporate services
Business setup / company formation
Free zone or regulatory administration
Proven experience in supervising teams and managing client portfolios
Strong understanding of:
UAE mainland and free zone frameworks
Licensing and regulatory procedures
AML/KYC and UBO compliance
Technical Skills
UAE mainland and free zone frameworks
Licensing and regulatory procedures
AML/KYC and UBO compliance
Hands-on experience with:
Corporate services workflows and regulatory portals
CRM or case management systems
Strong proficiency in:
Microsoft Office (especially Excel and document management)
